1. Contractual Relationship
These Terms of Use (“Terms”) form a binding agreement between you (“User,” “Driver,” or “Rider”) and RideShare MNM Technologies LLC (“RideShare,” “we,” “our,” or “us”). These Terms govern your access to and use of RideShare’s software platform, mobile applications, websites, and automated systems (collectively, the “Platform”).
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.
RideShare may update these Terms at any time. Continued use of the Platform after updates constitutes acceptance of the revised Terms.
2. Nature of the Platform — Marketplace Only
RideShare is a technology marketplace, not a transportation company.
The Platform enables independent commercial operators (“Drivers”) and consumers (“Riders”) to connect for transportation services.
RideShare:
does not provide transportation services
does not function as a Transportation Network Company (TNC)
does not employ, manage, supervise, or control Drivers
does not own, operate, inspect, or maintain vehicles
does not assume responsibility for Driver actions or omissions
does not guarantee service quality, safety, or availability
Drivers provide transportation services directly to Riders.
RideShare provides only the software that facilitates the connection.
3. Legal Classification & DPS Compliance
RideShare complies with all applicable federal, state, and local laws.
Where a state requires specific disclosures, insurance minimums, or operational conditions, those requirements are provided in the applicable State Addendum.
3.1 RideShare Is Not a TNC
RideShare is not a Transportation Network Company under Georgia law or any similar statute in any jurisdiction.
This classification is confirmed in RideShare’s DPS filings and Authority Letter.
3.2 Drivers Are Responsible for Their Own Insurance
Drivers must maintain their own TNC‑endorsed or commercial rideshare insurance.
RideShare does not provide insurance of any kind.
3.3 Background Checks Required
Drivers must undergo a background check before activation.
RideShare’s role is limited to receiving results from a third‑party provider and determining eligibility.
RideShare does not certify or guarantee the safety, character, or suitability of any Driver.
4. Driver Independence & Autonomy
Drivers using the Platform operate as independent commercial operators.
Drivers retain full control over:
business operations
work hours
acceptance or rejection of trips
vehicle condition and maintenance
compliance with all laws
insurance procurement
tax obligations
service delivery
RideShare does not:
set work schedules
impose performance metrics
supervise service delivery
provide training
evaluate performance
discipline Drivers
control pricing beyond automated fare calculation
Nothing in these Terms creates an employer‑employee, agency, joint venture, or partnership relationship.
5. Insurance Requirements
5.1 Driver Insurance Obligation
Drivers must maintain:
a valid TNC‑endorsed or rideshare‑specific commercial auto insurance policy
meeting or exceeding all state‑mandated coverage requirements
at all times while using the Platform
Personal auto policies with commercial exclusions are not accepted.
5.2 Proof of Compliance and Expiration Notifications
RideShare may request proof of valid documentation at any time. Failure to maintain or provide updated, verified credentials results in immediate account suspension until compliant documentation is submitted and verified.
To support Drivers in maintaining continuous compliance, RideShare provides advance automated notifications of upcoming document expirations at 30 days, 14 days, 1 day, and on the day of expiration. These notifications apply to all required driver and vehicle credentials (including commercial/TNC-endorsed insurance policies, driver’s licenses, vehicle registrations, and inspection certificates) and are provided solely as an operational courtesy.
Provision of these notifications—or any delay, failure, or irregularity in delivering them—does not alter, extend, or waive the Driver’s independent legal obligation to maintain continuous, valid credentials at all times while using the Platform. RideShare’s provision of notifications does not create liability for RideShare and does not excuse a lapse in required coverage or credentialing.
5.3 RideShare Does Not Provide Insurance
RideShare:
does not insure Drivers
does not insure Riders
does not insure vehicles
does not provide liability, collision, UM/UIM, or any other coverage
5.4 Driver Liability
Drivers are solely responsible for:
all injuries
all property damage
all losses
all claims
all legal obligations
all insurance coverage
all incidents arising from their services
RideShare bears zero responsibility for any transportation‑related event.
6. User Accounts
To use the Platform, Users must create an account and provide accurate information.
Users agree to:
maintain account security
update information as needed
accept responsibility for all activity under their account
RideShare may suspend or terminate accounts for violations of these Terms.
7. Platform Access and Use
Users may access the Platform solely for:
requesting transportation services (Riders)
offering transportation services (Drivers)
Users agree not to:
misuse, interfere with, or disrupt the Platform
attempt unauthorized access
use the Platform for unlawful purposes
misrepresent identity, insurance status, or eligibility
engage in fraud, abuse, or manipulation
RideShare may suspend or terminate access for violations of these Terms.
Users are responsible for:
maintaining accurate account information
securing login credentials
complying with all applicable laws
ensuring their device and network are functional
RideShare is not responsible for device failures, outages, or data charges.
8. Commercial Tariff, Trip Acceptance, and Payment
The Platform acts as an automated booking infrastructure for independent commercial operators. All services are governed by a fixed, published Commercial Tariff.
8.1 Published Commercial Tariff
The fare for any trip is determined by a pre-published, uniform Tariff Schedule based on objective metrics (distance, duration, and applicable taxes). This Tariff is not dynamic or demand-based and is not subject to individual negotiation. By using the Platform, Drivers and Riders acknowledge that this Tariff constitutes a definitive contract of carriage between the Driver and the Rider for each trip.
8.2 Independent Commercial Interaction
RideShare does not negotiate fares, set individualized prices, or dictate driver wages. The Platform’s role is limited to the automated application of the published Tariff to facilitate a transaction between two independent parties. The presentation of the fare is a technological implementation of a standardized industry rate card, not an act of platform price-setting.
8.3 Trip Confirmation and Finality
Upon trip completion, the Platform generates an itemized summary reflecting the application of the published Tariff. Both parties must confirm the summary; if a party fails to confirm within 10 minutes, the Platform auto-confirms. Confirmed fares are final. RideShare does not issue refunds, credits, or reversals, except as required by law or to rectify tariff application discrepancies verified under Section 8.4.
8.4 Technical Verification (Audit Only)
RideShare will perform an automated audit if a Tariff application discrepancy is reported. Any User contesting a charge must submit the basis for the contest in writing within forty-eight (48) hours of the disputed trip’s confirmation, identifying the specific trip and the nature of the discrepancy. Contests submitted after this 48-hour window, or that do not identify a specific trip and factual basis, will not be considered.
Upon timely submission, RideShare will conduct a technical audit limited strictly to the verification of data logs (GPS, timestamps, and Tariff application). RideShare does not adjudicate the quality, value, or personal outcomes of the service. Matters of service quality, safety, or personal disputes are outside the scope of the Platform and remain the sole liability of the independent parties. RideShare will provide a written determination following completion of the audit.
9. Driver Responsibilities
Drivers acknowledge and agree that they are independent commercial operators and are solely responsible for:
vehicle ownership, maintenance, and safety
compliance with all federal, state, and local laws
maintaining all required licenses and permits
carrying valid commercial/TNC‑endorsed insurance
determining whether to accept or decline any trip
ensuring vehicle roadworthiness
reporting income and paying taxes
all risks associated with providing transportation services
RideShare does not verify, monitor, or guarantee any of the above.
Drivers operate entirely at their own discretion and risk.
10.1 Rider Rating Standard
Riders must maintain a minimum 4.0-star rating based on Driver feedback. If a Rider’s rating falls below 4.0:
- the account may be suspended for 30 days
- upon lifting of the suspension, the rating resets to 5.0
- RideShare may restore access at its sole discretion
- Repeated failure to maintain the minimum rating may result in permanent deactivation
10.2 Driver Rating Standard
Drivers must maintain a minimum 4.0-star rating based on Rider feedback. If a Driver’s rating falls below 4.0:
- the account may be suspended for 30 days
- upon lifting of the suspension, the rating resets to 5.0
- the Driver may complete optional improvement steps
- RideShare may restore access at its sole discretion
- Repeated failure to maintain the minimum rating may result in permanent deactivation
This rating system is a mutual marketplace quality standard applicable to all users equally and does not create an employment relationship, dispatch control, or wage-setting authority.
11. Payment Processing
RideShare provides automated payment processing between Riders and Drivers. RideShare:
collects payment from Riders via integrated payment processors (such as Square)
distributes automated payouts to Drivers via PayPal
retains a 25% platform marketplace commission
allocates 5% to the shared revenue referral pool
RideShare does not set Driver earnings, guarantee earnings, provide wage-like compensation, or classify Drivers as employees or contractors.
Drivers are responsible for reporting income, paying taxes, and maintaining business records. Driver earnings of 70% of each completed fare are calculated daily and disbursed automatically via PayPal. Weekly commission earnings from the 5% shared revenue pool are reconciled and distributed every Monday morning.
11.1 Referral Pool Commission Eligibility
Participation in and distribution from the 5% shared revenue referral pool is contingent upon active driver participation. To remain eligible to earn weekly commission payouts from their referral downline, Drivers must satisfy the Platform’s minimum required weekly active driving hours for that reconciliation period, as well as the initial 20-lifetime-hour threshold. Drivers who fail to meet the minimum weekly active driving hour requirement during any given week forfeit eligibility for that week’s referral commission pool distribution, which shall remain with or be reallocated by the Platform according to automated schedule rules.
Platform transactions and automated driver disbursements are executed securely using integrated third-party payment gateways (including PayPal and Square), and users agree to be bound by the respective terms of service of these third-party payment processors.
12. Safety and Emergency Procedures
RideShare prioritizes the safety of all Users. The Platform includes an in-app emergency feature that connects Users to emergency services.
Upon activation of the in-app emergency feature, both the driver and rider accounts will be immediately suspended pending administrative review. Account suspension pending investigation shall remain in effect for a period of up to 30 days from the date of the incident.
Suspension may be manually lifted prior to 30 days if no police report has been filed and both parties have completed administrative reviews and provided incident details. In all cases where no official police report is submitted, the suspension is automatically lifted at the conclusion of the 30-day period.
If an official police report is submitted identifying one party as responsible or at fault for the incident, RideShare may permanently deactivate that party’s account at its sole discretion. Users are encouraged to report all safety concerns through the Platform’s reporting features.
13. Third-Party Services
The Platform may integrate with third-party services.
RideShare is not responsible for:
third-party content
third-party policies
third-party failures
third-party actions
Use of third-party services is at the user’s own risk.
14. Ownership and Intellectual Property
RideShare retains all rights to:
the Platform
software
algorithms
trademarks
content
data structures
Users receive a limited, revocable license to use the Platform.
No rights are transferred or assigned.
15. Network Access and Devices
(Emergency Protocol Subsection)
Activation of the in‑app 911 emergency button immediately triggers an automatic suspension of both the Rider and Driver accounts for up to 30 days. This suspension is applied without regard to fault, intent, or circumstance to isolate the incident and preserve platform integrity.
During the suspension period:
the trip record is locked
the incident is logged
account restoration occurs via administrative review or automatic timer
Restoration and Deactivation Mechanics:
Manual Early Restoration: If no police report has been filed and both parties submit full incident details and complete administrative review statements, RideShare may manually lift the suspension prior to the 30-day mark.
Automatic Expiration Restoration: Regardless of whether administrative interviews take place, if no official police report is submitted within 30 days, both accounts are automatically restored at the conclusion of the 30-day suspension window.
Permanent Deactivation: If a police report is submitted identifying one party as responsible or at fault for the incident, RideShare may permanently deactivate that party’s account at its sole discretion.
Misuse of the 911 feature—including activation without a legitimate emergency—may result in permanent deactivation. RideShare does not provide emergency services, investigate incidents, determine fault, or assume legal liability for events arising from the use of the emergency feature.
16. Disclaimers
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”
RIDESHARE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:
MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON‑INFRINGEMENT
SAFETY OR QUALITY OF DRIVER SERVICES
AVAILABILITY OR RELIABILITY OF THE PLATFORM
RideShare does not guarantee:
the safety of any trip
the conduct of any Driver or Rider
the accuracy of user‑provided information
the condition or legality of any vehicle
the availability of Drivers
uninterrupted platform operation
All risks associated with transportation services remain solely with the Driver and Rider.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIDESHARE SHALL NOT BE LIABLE FOR ANY:

RideShare shall not be liable for any claim arising from:
the operation of a vehicle
the provision of transportation services
failure of a Driver to maintain insurance
violations of law
accidents, collisions, or incidents
background check results
criminal acts of Drivers or Riders
disputes between users
This limitation applies regardless of negligence, foreseeability, or notice.
18. Indemnification
Users agree to indemnify, defend, and hold harmless RideShare from any and all claims arising out of:
the operation of a vehicle
the provision of transportation services
failure to maintain required insurance
violations of law
incidents, accidents, injuries, or property damage
interactions between Drivers and Riders
breach of these Terms
misrepresentations made to RideShare
use or misuse of the Platform
This obligation survives termination of the user’s account.
19. Arbitration Agreement
All disputes between users and RideShare shall be resolved through binding individual arbitration, not court.
Users waive:
jury trial
class actions
collective actions
representative actions
Arbitration is governed by the Federal Arbitration Act (FAA).
If arbitration is unenforceable, disputes must be brought individually in a court of competent jurisdiction.
20. Account Status and Termination
RideShare may suspend access immediately for non-compliance with documentation requirements (including expired insurance, driver’s license, registration, or inspection) until valid, verified documents are uploaded.
RideShare reserves the right to terminate access for fraudulent activity, background check failures, verified safety violations, or repeated material breaches of these Terms. Termination or suspension does not limit RideShare’s rights under indemnification or limitation of liability clauses.
21. Governing Law
These Terms are governed by:
the Federal Arbitration Act (FAA), and
the laws of the United States
State‑specific requirements are provided in separate State Addenda.
22. Severability
If any provision of these Terms is found unenforceable:
the unenforceable portion is severed
the remainder remains in full force
the intent of the parties is preserved
23. Entire Agreement
These Terms constitute the entire agreement between the user and RideShare.
No oral statements or expectations modify this agreement.
RideShare may update these Terms at any time.
Continued use of the Platform constitutes acceptance of the updated Terms.
GEORGIA STATE ADDENDUM

Drivers must maintain insurance that satisfies the following Georgia requirements:

2.2 Driver Responsibility
Drivers are solely responsible for:

ensuring their policy includes TNC/rideshare endorsements
providing proof of insurance upon request
updating RideShare if coverage lapses or changes
RideShare does not provide insurance and does not verify insurance beyond document submission.
3. Background Check Requirements in Georgia
Georgia requires that all Drivers undergo a background check prior to activation.
RideShare’s role is limited to:
collecting background check results from a third‑party provider

certify the safety or character of Drivers
guarantee the accuracy of background check data
assume liability for Driver conduct
Drivers remain fully responsible for their actions and compliance with Georgia law.
4. Georgia‑Specific Disclosures

RideShare does not collect or remit taxes on behalf of Drivers unless required by Georgia law. RideShare, as the marketplace facilitator, is responsible for remitting the Georgia Transportation Services Excise Tax.

If any provision of this Addendum conflicts with the nationwide Terms & Conditions, this Addendum controls only for activity occurring within Georgia.

2.1 When logged into the Platform and available for requests:
$50,000 bodily injury or death per person
$100,000 bodily injury or death per accident
$30,000 property damage
2.2 From trip acceptance through trip completion:
$1,000,000 combined single limit for death, personal injury, and property damage
UM/UIM coverage as required by Massachusetts law
Drivers are solely responsible for maintaining compliant insurance.
RideShare does not provide insurance.
3. Background Checks in Massachusetts
Massachusetts requires background checks for Drivers.
RideShare’s role is limited to:
receiving results from a third‑party provider
determining eligibility
RideShare does not certify Driver safety or suitability.
4. Massachusetts Earnings & Labor Disclosures
Massachusetts recently enacted driver earnings protections through a union‑backed framework.
These protections apply to TNCs, not marketplaces.
Because RideShare is not a TNC:
RideShare is not subject to minimum per‑mile or per‑minute earnings requirements
RideShare is not subject to TNC‑specific benefits or protections
RideShare is not required to contribute to state‑mandated driver funds
RideShare is not required to classify Drivers as employees or quasi‑employees
However, to maintain transparency for Riders and Drivers:
4.1 Driver Earnings Transparency
RideShare provides:
clear fare presentation
itemized trip summaries
transparent commission structure
Drivers retain full control over:
acceptance or rejection of trips
hours of operation
business strategy
earnings potential
RideShare does not set wages or guarantee earnings.
5. Massachusetts‑Specific Disclosures
Riders acknowledge:
Drivers are independent commercial operators
RideShare is not a transportation provider
All transportation‑related risks rest with the Driver and Rider
Insurance claims must be filed with the Driver’s insurer
6. Conflict With Nationwide Terms
If any provision of this Addendum conflicts with the nationwide Terms, this Addendum controls only for Massachusetts activity.
